1. Introduction

Nexoper designs and builds websites, sets up n8n workflow automations, and delivers DevOps & cloud infrastructure solutions for businesses. These Terms apply to every enquiry, proposal, quotation, and project carried out through our website, WhatsApp, or email, and they work alongside any separate written agreement or statement of work (SOW) we sign with you. Where a signed agreement and these Terms conflict, the signed agreement takes priority.

2. Our Services

We provide the following categories of services, scoped individually for each client:

The exact deliverables, timeline, and cost for your project are confirmed in writing (via email, quote, or proposal) before work begins.

3. Quotes, Payments & Project Scope

• Quotes are provided based on the information you share with us and are valid for the period stated in the quote.
• Projects typically require an upfront deposit before work begins, with the balance due on agreed milestones or upon completion.
• Work outside the originally agreed scope (additional pages, extra automation workflows, added infrastructure) may incur additional charges, which we will confirm with you before proceeding.
• Late payments may result in a pause of ongoing work or delayed delivery until outstanding invoices are settled.
• All prices are exclusive of applicable taxes unless stated otherwise.

4. Client Responsibilities

To deliver your project on time and to a high standard, we ask that you:

• Provide accurate, complete, and timely information, content, credentials, and access needed for the project.
• Review and approve deliverables, designs, or automation workflows within a reasonable timeframe.
• Ensure you have the legal right to use any content, logos, data, or third-party accounts you provide us for use in your website or workflows.
• Keep any login credentials, API keys, or access tokens you share with us secure on your end after project handover.

5. n8n Automation & Third-Party Integrations

Our n8n automation services often connect to third-party platforms, APIs, and tools that you use in your business (for example, CRMs, messaging platforms, spreadsheets, or payment systems). In relation to this work:

• You are responsible for maintaining valid accounts, licences, and API access for any third-party service connected to your automation workflows.
• We are not responsible for outages, pricing changes, or policy changes made by third-party platforms that affect the performance of your workflows.
• Automation workflows are built and tested against the requirements agreed at the time of delivery; significant changes to your business process afterward may require additional scoped work.
• Where automations handle sensitive or personal data, you remain responsible for ensuring your own use of that data complies with applicable data protection laws.

6. DevOps & Cloud Infrastructure

For DevOps and cloud infrastructure engagements, unless otherwise agreed in writing:

• Cloud hosting, domain, and third-party service costs (such as AWS, GCP, Azure, or similar providers) are billed directly to you by the provider or passed through to you separately from our service fees.
• We configure infrastructure according to industry-standard best practices, but you remain the account owner and are responsible for costs, billing alerts, and provider-side policy compliance.
• Ongoing monitoring, patching, or incident response is only included where explicitly covered under a maintenance or support agreement.

7. Intellectual Property

Once full payment has been received, ownership of the final website design, custom code, and automation workflows created specifically for your project transfers to you, unless otherwise agreed. We retain the right to reuse general methods, frameworks, reusable code snippets, and know-how developed during the project for other clients, provided no confidential or proprietary client information is disclosed. Third-party tools, plugins, themes, or licences used in your project remain subject to their own respective licence terms.

8. Warranties & Limitation of Liability

We take reasonable care and skill in delivering our website design, automation, and DevOps services. However, we do not guarantee uninterrupted or error-free operation of any website, workflow, or infrastructure, particularly where third-party platforms, APIs, or hosting providers are involved. To the maximum extent permitted by law, our total liability for any claim arising from our services is limited to the amount you paid us for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential losses, including loss of revenue, data, or business opportunity.

9. Termination

Either party may terminate an ongoing project with written notice if the other party breaches a material term of the agreement and fails to remedy it within a reasonable period. If a project is terminated partway through, you will be invoiced for work completed up to that point, and any deposit paid for undelivered work will be assessed on a case-by-case basis.

10. Website Use

You agree to use / only for lawful purposes and not to attempt to disrupt, reverse-engineer, or gain unauthorised access to any part of our website or systems. All content on this website, including text, graphics, and branding, is owned by or licensed to Nexoper and may not be reproduced without our permission.

11. Governing Law

These Terms are governed by and construed in accordance with the laws applicable in our place of business, without regard to conflict-of-law principles. Any disputes arising from these Terms or our services will first be addressed through good-faith discussion between the parties.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services or legal requirements. The "Last updated" date at the top of this page will always reflect the most recent version. Continued use of our website or services after an update means you accept the revised Terms.
